1. About our collaboration
- As a Partner, you collaborate with nourist to sell our products.
- Our partners are non-exclusive, and we reserve the right to choose with whom we collaborate.
- The collaboration revolves entirely around the sale of our products.
- Online sales restrictions: Our products may not be offered or sold via major online marketplaces such as Bol.com, Amazon, or similar platforms.
2. Orders and delivery
- Minimum order: €250 per order, with a minimum of 4 items per reference.
- Delivery time: maximum 3 working days after payment.
- Shipping costs: €7 per order; free for orders from €500.
- Orders are placed and paid in advance via our B2B portal.
- We reserve the right to refuse orders in the event of stock shortages or inappropriate orders.
3. Prices and Payment
- All prices are exclusive of VAT.
- Payment is made in full in advance via our B2B portal.
- No products will be shipped without payment.
4. Ownership and Risk
- The products remain the property of nourist until payment has been received in full.
- The risk of loss or damage passes to the Partner upon delivery.
5. Warranty and Returns
- We are happy to replace defective products, provided they are reported within 14 days of delivery.
- Other refunds or compensations do not apply.
- Our products always comply with European quality and safety standards.
6. Liability
- nourist is not liable for indirect damage, consequential damage, or loss of profit.
Maximum liability is limited to the amount of the delivered products of the relevant order.
7. Duration and Termination
- Both parties may terminate the agreement with immediate effect.
Upon termination, outstanding payments remain due.
8. Confidentiality
- Information regarding products, prices, and strategies is confidential and may not be shared with third parties.
9. Force Majeure
- nourist is not responsible for delays or non-performance due to force majeure (e.g., natural disasters, pandemics, or transport problems).
10. Applicable Law & Disputes
- Belgian law applies to this collaboration.
- Any disputes shall be submitted to the competent courts of Ghent, Belgium.
